If you have any questions that the web site or this document cannot answer, please use links on the web site to reach our support services. PARTIES This is the Terms of Service ("TOS") between you and 1318207 Alberta Ltd. ("247Condo"). DESCRIPTION OF SERVICES 247Condo currently provides users with a collection of on-line resources through the website http://www.CondoTop.com ("Service") focused around the management, storage, and distribution of documents and data regarding condominiums. YOUR REGISTRATION OBLIGATIONS In consideration of use of the Service, you agree to: (a) only use the services that you legally have right to access, (b) upload or record documents or information you legally have the right to, (c) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (such information being the "User Profile") (d) maintain and promptly update the User Profile to keep it true, accurate, current and complete (e) being human - accounts registered by "bots" or other automated methods are not permitted (f) using the account by yourself only - a single login shared by multiple people is not permitted and (g) not maintain more than one account. CONTENT, PRODUCT AND SERVICE DISCLAIMER You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. 247Condo does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Some jurisdictions (municipal, state, provincial, and federal) may have legislation regarding condominium and strata organizations. You agree to comply with all jurisdictional laws that apply to you, and failure to do so is your responsibility alone. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. PROCESS You acknowledge that your reading, removal, download, addition or modification of Content shall only be performed through the interface and process provided by 247Condo. INDEMNITY You agree to indemnify and hold 247Condo, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Content, the Content itself, your use of the Service, your connection to the Service, your violation of the TOS, or your violation of any rights of another. NO RESALE OF SERVICE OR CONTENT You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Service or Content, use of the Service, or access to the Service. GENERAL PRACTICES REGARDING USE You acknowledge that 247Condo may establish general practices and limits concerning use of the Service. PRIVACY POLICY 247Condo may disclose to third parties certain aggregate information contained in your User Profile or related data, provided that, such information will NOT include personally identifying information, except as specifically authorized by you or in the good faith belief that such action is reasonably necessary to comply with the law, legal process, to enforce the TOS, or under any of the other circumstances set forth in our privacy policy, as may be amended from time to time. AVAILABILITY AND ACCESS We will use reasonable means to ensure that Service 247Condo provides is available 24 hours a day 7 days a week. There will be times when the Service is interrupted for maintenance, upgrades and repairs or as a result of telecommunications and equipment failure that are beyond our control. We will take steps to minimize such disruption where it is within our control. You agree that we will not be liable to you for any modification, suspension, discontinuance or lack of availability of the Service. The retrieval of documents and data you store through/on the Service is not guaranteed. You are responsible for obtaining access to the Service and for the equipment required to achieve this. To do so may also require the involvement of third parties (such as Internet Service Providers). You are responsible for all fees charged by third parties in this regard. 247Condo reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that 247Condo shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service. PAYMENTS AND UPGRADING AND DOWNGRADING TERMS A valid credit card is required for paying accounts. Free accounts are not required to provide a credit card number. The service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for months unused with an open account. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorties, and you shall be responsible for payments of all such taxes, levies, or duties. Downgrading your Service may cause the loss of Content, features, or capacity of your Account. 247Condo does not accept any liability for such loss. REFUND POLICY Due to the nature of electronic services; there is a NO REFUND policy in place. Content and Services are sold on an "as is" basis. BANDWIDTH If your bandwidth usage exceeds 300MB/month, or significantly exceeds the average bandwidth usage (as determined solely by 247Condo) of other Service customers, 247Condo reserves the right to immediately disable your account or throttle your file hosting until you can reduce your bandwidth consumption. CREATED, POSTED AND UPLOADED CONTENT 247Condo may, but has no obligation to, remove Content and delete accounts that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party's intellectual property or these TOS. SERVICE CONTINUANCE Failure to maintain payment of the Service without interruption will result in deletion of all Content related to the paid part of the Service. Failure to maintain at least one active account related to the paid part of the Service will result in deletion of all Content related to the paid part of the Service. COPYRIGHT All Content available on or from the Service is copyright either by 247Condo or a third-party. You agree to respect this copyright and not violate it in any way. TERM AND TERMINATION You agree that 247Condo, in its sole discretion, may terminate your password, use of the Service or use of any other 247Condo service, and remove and discard any Content within the Service, for any reason, including, without limitation, if 247Condo believes that you have violated or acted inconsistently with the letter or spirit of the TOS. 247Condo may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this TOS may be effected without prior notice, and acknowledge and agree that 247Condo may immediately deactivate, modify or delete your Content and/or bar any further access to such files or the Service. Further, you agree that 247Condo shall not be liable to you or any third-party for any termination of your account. CHANGE OF TERMS 247Condo has the right at any time to change or modify the Agreement, or to impose new conditions. Such changes, modifications, additions or deletions shall be effective 14 days after notice thereof, which may be given by any means including, without limitation, posting on the site, or by electronic or conventional mail, or by any other means. Any use of the site by you after such notice shall be deemed to constitute acceptance of such changes, modifications, additions or deletions. DISCLAIMER OF WARRANTIES YOU EXPRESSLY UNDERSTAND AND AGREE THAT: (a) YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. 247CONDO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. (b) 247CONDO MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE IS ACCURATE, OR WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED (vi) DOCUMENTS OR DATA STORED WILL BE RETRIEVABLE IN THE FUTURE. (c) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. (d) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM 247CONDO OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS. LIMITATION OF LIABILITY YOU EXPRESSLY UNDERSTAND AND AGREE THAT 247CONDO SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF 247CONDO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE ACCURACY, INACCURACY, OR TIMELINESS OF THE CONTENT DOWNLOADED; (iii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iv) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (v) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (vi) ANY OTHER MATTER RELATING TO THE SERVICE.
